VadeKit - End-User Licence Agreement (EULA)

⚖️ This document is a plain-language licence agreement. It is not legal advice. Have it reviewed by qualified counsel before commercial release.
IMPORTANT - READ CAREFULLY. This End-User Licence Agreement ("Agreement") is a legal agreement between you, either an individual or a single legal entity ("you", "Licensee"), and Zeppelin, for the VadeKit desktop software, including all executable files, bundled components, and accompanying materials (the "Software"). By installing, activating, copying, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not install, activate, or use the Software. See Section 12 regarding fees and refunds.
1. Definitions
- Device - a single physical computer (desktop or laptop) owned or controlled by the Licensee.
- Licence Key - the alphanumeric key or activation file issued to the Licensee on purchase, which unlocks the Software on a Device.
- Update - a bug-fix, security, or minor feature release within the same major version (e.g. 1.0 → 1.4).
- Upgrade - a new major version (e.g. 1.x → 2.0).
- Third-Party Components - the separately-licensed open-source software bundled with or downloaded by the Software, listed in
THIRD-PARTY-NOTICES.md.
2. Licence grant
Subject to your compliance with this Agreement and payment of the applicable fee, Zeppelin grants you a perpetual, non-exclusive, non-transferable, non-sublicensable licence to:
- a. install and activate one (1) copy of the Software on one (1) Device per Licence Key; and
- b. use that copy for your own personal or internal business purposes.
You may move the licence to a replacement Device (for example after hardware failure or upgrade) by deactivating the Software on the old Device first. A Licence Key active on more than one Device at a time is a breach of this Agreement.
Volume, site, and OEM/redistribution licences are available separately - contact us at the address in Section 17.
3. Activation and Licence Key
The Software requires a one-time online activation of the Licence Key. Activation transmits only the Licence Key and a non-identifying device name to the licence service operated on our behalf by Dodo Payments. After activation the Software runs fully offline; it does not require a connection to start or to use any feature.
From time to time, only when the Software already has an internet connection, it may re-check that the Licence Key is still valid (for example, that it has not been refunded). This check transmits only the Licence Key, never blocks offline use, and never interrupts your work.
Each Licence Key permits activation on the number of devices shown at purchase (one, unless stated otherwise). You may release an activation from within the Software (Settings → About → Deactivate) to move the licence to another device. You must not share, publish, resell, or attempt to forge or circumvent a Licence Key.
4. Updates and Upgrades
Updates within your licensed major version are provided at no additional charge for as long as Zeppelin publishes them, delivered through the Software's built-in updater. Upgrades to a new major version may require a new licence or a paid upgrade fee. Zeppelin is under no obligation to provide any Update or Upgrade.
5. Evaluation builds
If Zeppelin provides an unlicensed, trial, or evaluation build, it is licensed to you solely for the purpose of evaluation for the period stated at download, is provided with no warranty or support, and must not be used for production or commercial work. All other terms of this Agreement apply.
6. Restrictions
You must not, and must not permit any third party to:
- a. copy the Software except for one reasonable backup copy;
- b. sell, rent, lease, lend, sublicense, distribute, or host the Software, or provide it as a service to third parties;
- c. reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
- d. remove, alter, or obscure any copyright, trademark, or licence notice;
- e. circumvent, disable, or interfere with the Licence Key or activation mechanism; or
- f. use the Software to develop a competing product.
7. Ownership
The Software is licensed, not sold. Zeppelin and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set out in this Agreement.
8. Third-Party Components
The Software includes Third-Party Components that are licensed to you under their own terms. To the extent any Third-Party Component licence grants you rights that this Agreement would otherwise restrict, that licence governs for that component only. Zeppelin provides the Third-Party Components "as is" and the relevant upstream licensors, not Zeppelin, are responsible for them.
9. Privacy and data
The Software processes your files entirely on your Device. Zeppelin does not receive, store, or transmit your documents, data, or the results of any operation. The Software's only outbound network connections are:
- a. one-time Licence Key activation, and occasional best-effort re-checks when already online (Section 3);
- b. checking for and downloading Updates; and
- c. a one-time download of the OCR models on first use of the OCR Reader.

10. Disclaimer of warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZEPPELIN DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL MEET YOUR REQUIREMENTS. YOU ARE RESPONSIBLE FOR KEEPING BACKUPS OF YOUR DATA.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEPPELIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT. ZEPPELIN'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE LICENCE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Fees and refunds
The licence fee is payable in full at purchase and is non-refundable, except where a refund is required by applicable consumer-protection law (see Section 14) or is granted by the payment processor under its own policy. VadeKit is sold as a one-time purchase with no trial period; review the feature list and system requirements before buying. If the Software fails to activate or is materially defective, contact us at the address in Section 17 and we will provide a repair or replacement, or a refund to the extent required by law. 13. Term and termination
This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. On termination you must stop using the Software and destroy all copies. Sections 6 through 11, 14, and 16 survive termination.
14. Statutory consumer rights
Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy that you have under the laws of the Republic of Indonesia (including Undang-Undang No. 8 Tahun 1999 tentang Perlindungan Konsumen) or other applicable law that cannot be excluded or limited by agreement.
15. Export and lawful use
You must use the Software in compliance with all applicable laws and must not use it for any unlawful purpose.
16. Governing law
This Agreement is governed by the laws of the Republic of Indonesia, without regard to its conflict-of-laws rules. The courts of Jakarta, Indonesia have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, subject to Section 14.
17. General
This Agreement is the entire agreement between you and Zeppelin regarding the Software and supersedes all prior communications. If any provision is held unenforceable, the remaining provisions stay in effect. Zeppelin's failure to enforce a provision is not a waiver. You may not assign this Agreement; Zeppelin may assign it to a successor in interest.
